Zevio Terms of Service

1. General information

1.1. These Terms define the rules for using the Zevio platform (the „Platform”).

1.2. The Platform operator is:

hereinafter referred to as „Zevio” or the „Operator”.

1.3. The Platform includes in particular:

  • administrative panel (web),
  • mobile application,
  • public payment and checkout pages,
  • QR code and payment link generation system,
  • API and webhooks,
  • subscription and scheduling system.

1.4. Definitions: Client - entity that has entered into an agreement with ZEVIO to use the Platform. Model M - execution of transactions under BLIK Recurring Payments requiring each approval by the Payer. Model O - execution of transactions under BLIK Recurring Payments without requiring each approval by the Payer. BLIK Recurring Payment - a recurring BLIK payment method enabling the Business Client to initiate payments using BLIK after the Payer has accepted in their banking app the creation of a recurring payment for that Business Client for services or goods, for a fixed or variable amount, at fixed or variable frequency, for a specified period or indefinitely. Payer - Individual Client or other entity making payments for the Business Client's services or goods. Issuer - entity issuing the payment instrument providing functionality to enable Payers to perform BLIK Transactions.

1.5. Use of the Platform constitutes acceptance of these Terms.

2. Types of users

2.1. The Platform may be used by:

  • a) Individual Clients - natural persons using the Platform as consumers.
  • b) Business Clients - entrepreneurs using the Platform in connection with their business activity or persons who do not have consumer status due to using the Platform in connection with their professional or unregistered activity.

3. Scope of services

3.1. For Individual Clients

The Platform enables in particular:

  • making payments (e.g. BLIK, card),
  • managing subscriptions,
  • viewing transaction history,
  • using reservations and schedules,
  • managing user profile.

3.2. For Business Clients

The Platform enables in particular:

  • generating QR codes and payment links,
  • one-off and recurring payment handling,
  • subscription configuration,
  • REST API integration,
  • webhook configuration,
  • team and organisation management,
  • access to reports and analytics,
  • schedule and reservation configuration.

4. Registration and account

4.1. Registration requires providing true and current data.

4.2. An account may be created via:

  • email registration,
  • Google sign-in,

4.3. The user is responsible for the security of their login data and for actions taken using their account.

4.4. The Operator may suspend or delete an account in the event of a breach of law, the Terms or security rules.

5. Nature of services and payments

5.1. Zevio does not provide payment services within the meaning of payment services regulations (including PSD2).

5.2. The Platform is a technological infrastructure enabling integration with external payment operators.

5.3. All payment operations are carried out by payment service providers who meet the legal requirements for such activity, in accordance with their terms.

5.4. Zevio does not:

  • accept deposits,
  • maintain payment accounts,
  • hold users' funds,
  • issue e-money.

5.5. For BLIK recurring payments, each Recurring Transaction is initiated by the Business Client on the basis of the Payer's prior consent given in the Issuer's banking app.

5.6. Zevio is not liable for:

  • the correctness of offer terms set by the Business Client,
  • the consistency of the amount with the offer,
  • the legal relationship between the Business Client and the Payer,
  • complaints arising from the content or performance of the Business Client's service.

6. Subscriptions

6.1. Subscriptions are executed automatically according to the schedule chosen at activation.

6.2. Cancellation of a subscription is in accordance with the Business Client's offer terms and the payment operator's rules.

6.1. BLIK Recurring Payments (Model O / Model M)

6.1.1. Recurring Transactions are initiated by the Business Client on the basis of the Payer's prior consent given in the Issuer's banking app.

6.1.2. The Business Client is obliged to:

  • clearly define the subject of the service or goods,
  • indicate the amount of a single Recurring Transaction or the rules for determining a variable amount,
  • specify the frequency of charges,
  • indicate the duration of the subscription or its indefinite nature,
  • inform the Payer about the cancellation procedure,
  • obtain the Payer's explicit consent.

6.1.3. The Business Client bears sole responsibility for:

  • compliance of the offer with applicable law, in particular consumer protection provisions,
  • correctness of the offer terms,
  • compliance of the initiated Recurring Transaction with the accepted terms,
  • fulfilment of obligations under law, PSP guidelines and the payment operator's rules,
  • complaints and refunds relating to Recurring Transactions.

6.1.4. Zevio is not liable for:

  • Issuer decisions resulting in non-execution of the Transaction,
  • lack of funds on the Payer's side,
  • unavailability of banking or BLIK systems,
  • withdrawal of consent by the Payer,
  • non-compliance of the Business Client's offer with the law.

7. Plans and fees

7.1. The Platform may offer various plans (e.g. Free, Basic, Premium, Enterprise).

7.2. The scope of functionality depends on the chosen plan.

7.3. Subscription fees and transaction commissions are set out in the current price list published at https://zevio.io/en/pricing.

7.4. Platform usage fees

7.4.1. Use of the Platform by Business Clients may be subject to:

  • a) subscription (SaaS) fees for access to selected plans or packages,
  • b) commissions calculated as a percentage of the value of processed transactions.

7.4.2. Detailed fee rates, including subscription fees and commissions, are specified in the current price list available on the Platform's website.

7.5. Price list updates

7.5.1. The Operator reserves the right to periodically update the price list, including annual fee updates, to reflect Platform development, feature expansion, and changing market conditions, including operational and technological costs.

7.5.2. The price list change referred to above may include in particular:

  • a) changing subscription fee amounts,
  • b) changing transaction commission rates,
  • c) introducing new packages or billing models.

7.5.3. The Operator informs Business Clients about price list changes at least 14 days in advance by publishing information on the Platform website or in the user panel.

7.5.4. Continued use of the Platform after the new price list takes effect constitutes acceptance.

7.5.5. If the changes are not accepted, the Business Client has the right to stop using the Platform before the changes take effect.

7.6. No fees for Individual Clients

7.6.1. Use of the Platform by Individual Clients is free of charge and is not subject to subscription fees or commissions payable to the Operator.

7.6.2. The above does not include fees resulting from:

  • a) terms of offers of Business Clients,
  • b) fees charged by external payment service providers in accordance with their terms.

8. API and webhooks

8.1. API access requires use of an API key.

8.2. The user is responsible for the security of access keys.

8.3. The Operator may limit or block access in the event of abuse or breach of security rules.

9. Liability

9.1. The Operator exercises due diligence to ensure the proper operation of the Platform.

9.2. The Operator is not liable for the actions of external payment operators or financial institutions.

9.3. To the extent permitted by law, the Operator's liability to the Business Client is limited to the amount of fees paid by that Client in the last 12 months.

9.4. For recurring payments, the Business Client is responsible for the compliance of the initiated transaction with the offer terms.

10. Complaints

10.1. Complaints regarding the operation of the Platform may be submitted to:

10.2. A response is provided within 14 days of receipt of the complaint.

11. Termination

11.1. The user may delete their account at any time.

11.2. The Operator may terminate the agreement with immediate effect in the event of a breach of the Terms or the law.

12. Governing law

12.1. The Terms are governed by Polish law.

12.2. For Individual Clients, this does not exclude protection under mandatory consumer law provisions.

13. Changes to the Terms

13.1. The Operator may change the Terms at any time.

13.2. Changes take effect 14 days after publication on the Platform website.

13.3. Continued use of the Platform after the changes take effect constitutes acceptance of the changes.

By using the ZEVIO Platform you accept the Terms of Service and acknowledge the Privacy Policy.
